Ken Frantz is a founding Member of the
firm. His extensive background and years
of legal and business experience enable
him to practice in a wide range of
corporate and business areas, including
specializations in the technically
demanding areas of ERISA and Healthcare
law.
He has several years of sophisticated
legal and business experience in the
establishment, termination and
operational needs of corporations,
limited liability companies,
partnerships and joint ventures. This
experience includes contract drafting,
negotiation and review on a broad range
of legal and business issues.
A significant portion of Mr. Frantz's
corporate experience includes mergers
and acquisitions. He has worked
extensively with both asset and stock
transactions, and with for-profit and
non-profit organizations.
He also has experience with complex real
estate transactions, including drafting
and negotiating purchase agreements,
deeds, leases, mortgages and land
contracts. This background includes both
stand-alone transactions as well as
larger business deals.
His healthcare law practice is focused
upon transactional matters, including
those areas of fraud and abuse, private
inurement and tax exempt issues
affecting such transactions.
Representative clients are primarily
hospitals, clinics and other non-profit
organizations. However, he also
represents physicians in employment
contract matters.
Mr. Frantz is also experienced in the
very technical field of ERISA, and the
full range of employee benefits. This
includes drafting and designing
retirement and welfare benefit plans,
nonqualified and executive deferred
compensation arrangements, stock option
plans and trusts, as well as
negotiations with the Internal Revenue
Service and the Department of Labor.
As a compliment to his employee benefits
practice, Mr. Frantz also has
significant experience with EEOC, COBRA,
FMLA, ADA and similar workplace
regulations.
He is a member of the State Bar of
Michigan, and the State Bar of Texas
(Inactive), and was a member of the
Michigan State Bar Committee on
Character and Fitness from 1998 to 2004.
He is the author of several professional
articles.
